At Forest City, this inclusive culture begins with our Board of Directors. Over the last 15 years, our directors have fostered a world-class work culture that embraces diversity and inclusion. Two of the Board’s three standing committees oversee Forest City’s diversity plan and progress.</div><div unselectable="on">Today, the Board remains committed to expanding the diversity of its membership. Diversity in gender, ethnic background and geographic origin are primary attributes considered by our Corporate Governance and Nominating Committee.</div><div unselectable="on">Eight out of 13 members, or 61.5 percent, of the Board qualify as independent under our governing documents and the rules of the Securities and Exchange Commission and the New York Stock Exchange. Our Board also has a non-executive chair, while 7.7 percent of members represent minority groups and 31 percent are women.</div> <div class="crreportCallout" unselectable="on"><hr unselectable="on" />61.5% of our Board now qualifies as independent and 31% of our directors are women.<hr unselectable="on" /></div> <div unselectable="on">In December 2016, Forest City announced the retirement of Charles Ratner from the company and as Executive Chairman of the Board, the resignation of Bruce C. Ratner from the Board, and the appointment of James A. Ratner as Non-Executive Chairman of the Board. In April 2017, Z. Jamie Behar, CFA, was appointed to the Board as an independent director to fill the vacancy created when Bruce C. Ratner resigned from the Board. At the Company’s 2017 Annual Meeting of Stockholders, another independent director, Craig Macnab, was elected to the Board to replace Stan Ross, who did not stand for re-election. Z.
